Ohio Business License Overview

Ohio is relatively streamlined at the state level compared to many other large states. Corporations are not required to file annual reports with the Ohio Secretary of State (a notable exception to the national norm), while LLCs file a biennial report. The state's most universal requirement is the Vendor's License for sales tax collection.

Local licensing in Ohio, however, can be significant. Cities like Columbus, Cleveland, Cincinnati, and Toledo each have their own business licensing requirements, and Ohio's numerous municipalities add compliance complexity for multi-location operators.

Ohio LLC Biennial Report (Secretary of State)

Ohio LLCs must file a Biennial Report with the Secretary of State every two years.

LLCs that fail to file risk administrative cancellation. Corporations in Ohio do not file an annual or biennial report—their registration remains active as long as they stay in good standing with the tax department.

Ohio Vendor's License (Sales Tax)

Any Ohio business that sells tangible personal property or taxable services at retail must obtain a Vendor's License from the Ohio Department of Taxation. The license is free and issued by the county auditor's office in which the business is located. Each physical business location requires its own Vendor's License.

Local Business Licenses in Ohio

Columbus

The City of Columbus requires a Business Registration for all businesses operating within city limits. Columbus also requires specific permits for regulated businesses including food service, contractor work, and tobacco sales. The Columbus Public Health Department issues food service operation licenses annually.

Cleveland

Cleveland requires a Business Registration Certificate for businesses operating within the city. Regulated businesses—including food establishments, contractors, and entertainment venues—need additional permits. Cuyahoga County issues health permits for food service operations.

Cincinnati

Cincinnati issues local business licenses through the Division of Tax and Payments. The city requires a Business License for most commercial operations, renewed annually. Hamilton County also administers environmental health permits including food service permits.

Toledo, Akron, Dayton

These Ohio cities each require local business registrations and, for regulated industries, specific operating permits. Lucas County, Summit County, and Montgomery County each administer their own health department permits for food businesses.
