Florida Business License Overview

Florida does not have a universal statewide business license, but all registered business entities—LLCs, corporations, and others—must file an Annual Report with the Florida Division of Corporations (Sunbiz) every year. This requirement applies regardless of whether the business had any activity that year.

Florida's compliance structure also includes county-level Business Tax Receipts (formerly called occupational licenses), which are required in most of Florida's 67 counties. Many cities layer their own Business Tax Receipts on top. This two-layer local licensing system affects virtually every business operating in Florida.

Florida Annual Report (Sunbiz)

The Florida Annual Report is the most critical recurring compliance requirement for any Florida LLC or corporation. Missing the May 1 deadline triggers a $400 late fee—one of the steepest in the country. Entities that do not file are administratively dissolved or revoked by the third Friday in September.

The Annual Report updates your registered agent, principal address, and officer/manager information. It is a state filing only and does not replace local licensing requirements.

Florida Business Tax Receipt (County & City)

Miami-Dade County

Miami-Dade requires a Local Business Tax Receipt (BTR) for any business operating within unincorporated Miami-Dade or within any of its municipalities. County BTRs are issued by the Tax Collector and renewed annually by September 30. Fees vary by business type and size, typically ranging from $45 to several hundred dollars. The City of Miami issues separate city-level BTRs for businesses within city limits.

Broward County (Fort Lauderdale)

Broward County issues Local Business Tax Receipts through the Records, Taxes & Treasury Division, also renewed annually by September 30. Businesses in incorporated areas (Fort Lauderdale, Hollywood, Pembroke Pines, etc.) must also obtain a city-level BTR from their respective city.

Palm Beach County

Palm Beach County Local Business Tax Receipts are also due September 30 annually. West Palm Beach, Boca Raton, Delray Beach, and other municipalities each issue their own city BTRs on the same September 30 cycle.

Orange County (Orlando)

Orange County and the City of Orlando both require Business Tax Receipts. The county renewal deadline is September 30. Orlando-specific BTRs are also due September 30 and are issued by the City of Orlando Permitting Services.

Other Florida Counties

Florida's 67 counties all have BTR programs, nearly all with a September 30 renewal deadline. If you operate in multiple Florida markets, budget for September as your annual compliance crunch month.
