Arizona Business License Overview

Arizona does not have a universal statewide business license, but it has one of the more distinctive compliance requirements in the country: the Transaction Privilege Tax (TPT) License. Arizona's TPT is a sales tax applied to businesses (not consumers directly), and virtually every business selling goods or taxable services in Arizona must obtain and maintain a TPT license. It functions as the de facto statewide business registration for most commercial activity.

At the local level, Arizona's cities also levy their own TPT, and many require a separate city Business License on top of the state license.

Arizona Annual Reports (Corporation Commission)

LLCs and corporations registered in Arizona must file an Annual Report with the Arizona Corporation Commission.

LLCs are due at no cost but must still file to remain in good standing. Corporations that fail to file are subject to a $9 late fee and eventual administrative dissolution.

Arizona Transaction Privilege Tax (TPT) License

The TPT License is issued by the Arizona Department of Revenue and is required for businesses engaged in taxable activities in Arizona—including retail sales, construction, restaurants, rentals, and many services.

Arizona's TPT system is unique in that it combines state and city taxes into a single license and filing in many cases. Cities participating in the state's unified licensing system (most major Arizona cities) are included in the single AZTaxes.gov registration.

Phoenix

Phoenix requires a City Privilege License for businesses operating within city limits, separate from the state TPT. The City of Phoenix Privilege License is renewed annually; fees vary by business type and gross receipts.

Tucson

Tucson requires a Business License for most businesses operating in the city, renewed annually. Tucson levies its own city TPT on top of the state rate.

Scottsdale

Scottsdale requires a Business Registration/License for businesses within city limits. Certain regulated industries also need additional permits from the city.

Mesa, Chandler, Gilbert, Tempe

These East Valley cities each have their own Business License requirements and city TPT levied separately or through the unified state system. Businesses with locations across multiple East Valley cities must confirm compliance city by city.
